Acceptance of Terms

By accessing or using any of the services provided by Creative Studio, including but not limited to our website, design services, branding services, digital marketing services, and any other related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to all of these Terms, do not access or use the Services.

These Terms constitute a legally binding agreement between you (the "User" or "you") and Creative Studio. Creative Studio reserves the right to modify these Terms at any time without prior notice. Your continued use of the Services following any such modification constitutes your agreement to be bound by the modified Terms. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

Description of Services

Creative Studio provides a range of creative services, including but not limited to:

• Branding and Identity: Logo design, brand guidelines, and visual identity development.
• Web Design and Development: Website design, development, hosting, and maintenance.
• Digital Marketing: Search engine optimization (SEO), social media marketing, pay-per-click (PPC) advertising, content marketing, and email marketing.
• Graphic Design: Print design, marketing collateral, and visual communication materials.
• Video Production: Video creation, editing, and production services for various platforms.
• Mobile App Development: Design and development of mobile applications for iOS and Android.

The specific Services provided to each User will be outlined in a separate agreement or project proposal. Creative Studio reserves the right to modify or discontinue any Service at any time without prior notice.

User Obligations

As a User of the Services, you agree to:

1. Provide accurate and complete information when requested.
2. Comply with all applicable laws and regulations.
3. Use the Services only for lawful purposes.
4. Not to infringe upon the intellectual property rights of Creative Studio or any third party.
5. Not to engage in any activity that could disrupt or interfere with the Services.
6. Not to attempt to gain unauthorized access to the Services or any related systems or networks.
7. Provide timely feedback and approvals as required for project completion.

Failure to comply with these obligations may result in the termination of your access to the Services.

Payments and Fees

Fees for the Services will be outlined in a separate agreement or project proposal. All fees are due and payable in accordance with the payment schedule specified in that agreement.

Creative Studio reserves the right to change its fees at any time. Any changes to fees will be communicated to you in advance.

Late payments may be subject to interest charges at a rate of 1.5% per month or the highest rate permitted by law, whichever is lower. Creative Studio reserves the right to suspend or terminate your access to the Services for failure to make timely payments.

All payments are non-refundable, except as expressly provided in a separate agreement or project proposal.

Intellectual Property

Creative Studio retains all rights, title, and interest in and to the Services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Any content or materials created by Creative Studio for you as part of the Services will be owned by you upon full payment of all fees, unless otherwise agreed in a separate written agreement. Creative Studio retains the right to display completed projects in its portfolio and marketing materials.

You are responsible for ensuring that any content or materials you provide to Creative Studio do not infringe upon the intellectual property rights of any third party. You agree to indemnify and hold Creative Studio harmless from any claims or damages arising from your infringement of intellectual property rights.

Termination

Creative Studio may terminate your access to the Services at any time, with or without cause, upon written notice. You may terminate your use of the Services at any time by providing written notice to Creative Studio.

Upon termination, you will no longer have access to the Services. Any outstanding fees will become immediately due and payable. Sections pertaining to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CREATIVE STUDIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CREATIVE STUDIO MAKES NO WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES.

Limitation of Liability

IN NO EVENT SHALL CREATIVE STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF CREATIVE STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CREATIVE STUDIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CREATIVE STUDIO FOR THE SERVICES IN THE SIX MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to indemnify and hold Creative Studio harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your infringement of any intellectual property rights.

Governing Law
